Privity of Contract

• According to the doctrine of privity of contract, only the parties to a contract have the right to sue one another and enforce their rights or responsibilities under the terms of the agreement. A contract cannot be enforced in court by a third party, or a stranger, even if it was made for that person’s benefit. The only party with standing to assert rights is another party to the contract.
• अनुबंध की गोपनीयता के सिद्धांत के अनुसार, केवल अनुबंध के पक्षकारों को एक दूसरे पर मुकदमा करने और समझौते की शर्तों के तहत अपने अधिकारों या जिम्मेदारियों को लागू करने का अधिकार है। एक अनुबंध अदालत में तीसरे पक्ष या किसी अजनबी द्वारा लागू नहीं किया जा सकता है, भले ही वह उस व्यक्ति के लाभ के लिए बनाया गया हो। अधिकारों का दावा करने वाली एकमात्र पार्टी अनुबंध की दूसरी पार्टी है।

English law and Indian law

• A stranger to the contract cannot be sued on it, according to English law. Only contract parties may sue one another, it was decided in Twiddle v. Atkinson [(1861) 1 B & S 393]. The bride and groom were A and B. After the marriage, A’s father and B’s father signed a written agreement stating that each would pay A a specific amount of money and that A would have the right to sue for each payment. After the demise of both fathers, A brought a lawsuit against B’s father’s executors to recover the agreed sum. According to the ruling, A could not file a lawsuit because he was stranger with both the contract and the consideration.

• The Contract Act states that a third party may provide consideration for an agreement, but that third party—who is not a party to the agreement—may not bring a lawsuit based on the agreement. Although the Indian Contract Act’s definition of consideration is broader than the English law’s, it nonetheless adheres to the common law principle of privity of contract, which holds that only parties to the contract have the right to have it enforced.
• अनुबंध अधिनियम में कहा गया है कि एक तीसरा पक्ष एक समझौते के लिए विचार प्रदान कर सकता है, लेकिन वह तीसरा पक्ष – जो समझौते का पक्ष नहीं है – समझौते के आधार पर मुकदमा नहीं ला सकता है। यद्यपि भारतीय अनुबंध अधिनियम की प्रतिफल की परिभाषा अंग्रेजी कानून की तुलना में व्यापक है, फिर भी यह अनुबंध की गोपनीयता के सामान्य कानून सिद्धांत का पालन करती है, जिसमें यह माना जाता है कि अनुबंध के केवल पक्षों को ही इसे लागू करने का अधिकार है।

Exceptions to the Doctrine of Privity of contract

1) Trust of contractual rights or beneficiary under contract – If two parties enter into a contract for the benefit of a third party who is not part of that contract then in the failure of any party not performing his actions, the third party can enforce his rights against others.

1) अनुबंध के तहत संविदात्मक अधिकारों या लाभार्थी का विश्वास – यदि दो पक्ष किसी तीसरे पक्ष के लाभ के लिए एक अनुबंध में प्रवेश करते हैं जो उस अनुबंध का हिस्सा नहीं है, तो किसी भी पार्टी द्वारा अपने कार्यों को न करने की विफलता में, तीसरा पक्ष दूसरों के खिलाफ अपने अधिकारों को लागू कर सकता है।

2) Conduct, acknowledgment or admission – It might happen that there may be no privity of contract between two parties, but if one of them by his conduct, acknowledgment or admission recognizes the right of the other to sue him then he may be liable to perform it on the basis of the law of estoppel.

2) आचरण, पावती या प्रवेश – ऐसा हो सकता है कि दो पक्षों के बीच अनुबंध की कोई गोपनीयता न हो, लेकिन यदि उनमें से एक अपने आचरण, पावती या स्वीकारोक्ति द्वारा दूसरे के उस पर मुकदमा चलाने के अधिकार को मान्यता देता है तो वह कानून के आधार पर इसे करने के लिए उत्तरदायी हो सकता है रोक का।

3) Provision for marriage or maintenance under family arrangement – Where, under a family arrangement the contract is intended to secure a benefit to a third party he may sue in his own right as a beneficiary.

3) पारिवारिक व्यवस्था के तहत विवाह या भरण-पोषण का प्रावधान – जहां, एक पारिवारिक व्यवस्था के तहत अनुबंध का उद्देश्य किसी तीसरे पक्ष को लाभ प्राप्त करना है, वह एक लाभार्थी के रूप में अपने अधिकार में मुकदमा कर सकता है।

4) Charge created on specific immovable property – If a charge on a specific immovable property is created for the benefit of a third party then in such a case even though the third party is a stranger to the contract, he/she can still enforce it.

4) विशिष्ट अचल संपत्ति पर सृजित प्रभार – यदि किसी विशिष्ट अचल संपत्ति पर शुल्क किसी तीसरे पक्ष के लाभ के लिए बनाया गया है तो ऐसे मामले में भले ही तीसरा पक्ष अनुबंध के लिए अजनबी है, फिर भी वह इसे लागू कर सकता है।

5) Assignee of a contract – The assignee of a contract can enforce the benefits of a contract though he is not a party to it.
