What is a Breach of Contract?

When one or more parties to an agreement fail to uphold its legal obligations by failing to carry out the promises it has made, this is known as a breach of contract and can give rise to legal action. Section 37 of the Indian Contract Act states that any agreement between two or more than two parties, whether oral or written, is legally enforceable on all parties unless the terms and conditions of the agreement are specifically exempted by another provision of Indian law.

Although the parties to a contract usually adhere to the other party’s terms and conditions, sometimes one party will renege, causing financial harm to the other.

This is referred as repudiation. According to the section 39 of the Indian contract Act, “Any intimation whether by words or by conduct that the party declines to continue with the contract is repudiation, if the result is likely to deprive the innocent party of substantial the benefit of the contract”.

Types of Breach of Contract

  1. One party has committed a minor breach if they have gotten deliverable product but the other party has not fulfilled their portion of the agreement.
  2. When one party seriously fails to perform the part of the contract that permits the other party to request damages because of the breach, this is considered a material breach.
  3. When one party to an agreement acts in violation of it in advance, this is known as an anticipatory breach. Disrespect can be expressed verbally or by actions.
  4. When one of the contracting parties fails to fulfil its obligations by the agreed upon deadline, this constitutes an actual breach. That the promisor refuses to carry out the promise by the agreed upon date.

A contract is a formal agreement between two or more parties wherein they commit to one another to perform specific legal acts. A breach of contract occurs when one of the parties to the contract does not fulfil their duties as required by the terms of the agreement. The Indian Contract Act of 1872 spells out the legal ramifications of breaking a contract in sections 73–75.

अनुबंध का उल्लंघन

जब एक समझौते के एक या अधिक पक्ष अपने किए गए वादों को पूरा करने में विफल होकर अपने कानूनी दायित्वों को निभाने में विफल रहते हैं, तो इसे अनुबंध के उल्लंघन के रूप में जाना जाता है और कानूनी कार्रवाई को जन्म दे सकता है। भारतीय अनुबंध अधिनियम की धारा 37 में कहा गया है कि दो या दो से अधिक पक्षों के बीच कोई भी समझौता, चाहे मौखिक हो या लिखित, सभी पक्षों पर कानूनी रूप से लागू करने योग्य है, जब तक कि समझौते के नियमों और शर्तों को विशेष रूप से भारतीय कानून के किसी अन्य प्रावधान से छूट नहीं दी जाती है।

हालांकि एक अनुबंध के पक्ष आमतौर पर दूसरे पक्ष के नियमों और शर्तों का पालन करते हैं, कभी-कभी एक पक्ष पीछे हट जाएगा, जिससे दूसरे को वित्तीय नुकसान होगा।

इसे अस्वीकृति के रूप में जाना जाता है। भारतीय अनुबंध अधिनियम की धारा 39 के अनुसार, “कोई भी सूचना चाहे शब्दों या आचरण से हो कि पार्टी अनुबंध के साथ जारी रखने से इनकार करती है, यदि परिणाम निर्दोष पक्ष को अनुबंध के लाभ से वंचित करने की संभावना है” .

अनुबंध के उल्लंघन के प्रकार

  1. एक पक्ष ने मामूली उल्लंघन किया है यदि उन्हें सुपुर्दगी योग्य उत्पाद मिल गया है लेकिन दूसरे पक्ष ने समझौते के अपने हिस्से को पूरा नहीं किया है।
  2. जब एक पक्ष अनुबंध के उस हिस्से को निष्पादित करने में गंभीरता से विफल रहता है जो दूसरे पक्ष को उल्लंघन के कारण नुकसान का अनुरोध करने की अनुमति देता है, तो इसे एक भौतिक उल्लंघन माना जाता है।
  3. जब किसी समझौते का एक पक्ष पहले से इसका उल्लंघन करता है, तो इसे एक अग्रिम उल्लंघन के रूप में जाना जाता है। अनादर मौखिक रूप से या कार्यों द्वारा व्यक्त किया जा सकता है।
  4. जब अनुबंध करने वाली पार्टियों में से एक सहमत समय सीमा तक अपने दायित्वों को पूरा करने में विफल रहता है, तो यह एक वास्तविक उल्लंघन है। कि वादाकर्ता सहमत तिथि तक वादे को पूरा करने से इंकार कर देता है।

एक अनुबंध दो या दो से अधिक पार्टियों के बीच एक औपचारिक समझौता है जिसमें वे विशिष्ट कानूनी कार्य करने के लिए एक दूसरे से प्रतिबद्ध होते हैं। अनुबंध का उल्लंघन तब होता है जब अनुबंध के लिए पार्टियों में से एक समझौते की शर्तों के अनुसार अपने कर्तव्यों को पूरा नहीं करता है। 1872 का भारतीय अनुबंध अधिनियम धारा 73-75 में एक अनुबंध को तोड़ने के कानूनी प्रभाव को बताता है।
